What is a Professional Employer Organization (PEO)?

October 9, 2026 Posted by Project Manager Uncategorized No Comments

A professional employer organization (PEO) is a company that enters a co-employment arrangement with a client business to manage HR, payroll, benefits administration, workers’ compensation, and compliance. The PEO becomes a co-employer of record, sharing employer responsibilities while the client retains full control over daily operations and business decisions.

How a PEO Works

When a business partners with a PEO, both parties sign a co-employment agreement. From that point, the PEO assumes responsibility for HR administration, payroll processing, tax filings, benefits access, risk management, and regulatory compliance on behalf of the client’s workforce.

The client continues to run their business as normal: hiring, managing, and directing employees day-to-day. The PEO handles the employer infrastructure behind those employees.

Sets job roles & responsibilitiesAdministers benefits & risk programsReceive Fortune 500-level benefits

What Services Does a PEO Provide?

A full-service PEO typically covers:

  • Payroll processing and tax administration
  • HR compliance and employment law guidance
  • Employee benefits (medical, dental, vision, EAP)
  • Workers’ compensation coverage and claims management
  • Workplace safety programs and Cal-OSHA compliance
  • Employee handbook and policy development
  • Onboarding, offboarding, and HR documentation

The depth of these services varies by provider. Unlike a payroll-only provider, a full-service PEO actively participates in risk management and compliance, not just wage processing.

What is Co-Employment?

Co-employment is the contractual arrangement at the core of how a PEO operates. Under co-employment, the PEO and the client business each hold specific employer responsibilities over the same workforce.

The PEO is responsible for:

  • Payroll and tax filings
  • Benefits administration
  • HR compliance and documentation
  • Workers’ compensation programs

The client business retains:

  • Control over hiring and termination decisions
  • Day-to-day management and supervision
  • Direction of work and business operations

This structure allows the PEO to be directly accountable for compliance, not just a vendor processing transactions in the background.

Why California Employers Use a PEO

California has some of the most complex employment laws in the country. Employers face layered obligations at the state, county, and city level, including wage-and-hour rules, mandatory sick leave ordinances, Cal-OSHA safety requirements, and strict workers’ compensation regulations.

A PEO with California-specific expertise helps employers:

  • Stay current with changing state and local labor laws
  • Maintain compliant policies across multiple locations
  • Reduce workers’ compensation costs through proactive safety programs
  • Access group benefits typically reserved for larger employers
  • Prepare for and respond to Cal-OSHA audits and enforcement actions

For industries like hospitality, where high turnover, multi-shift operations, and frequent injury exposure are common, these protections are especially valuable.

Who Typically Uses a PEO?

PEOs serve businesses of all sizes, but the greatest value tends to be realized by:

  • Small and mid-sized businesses (5-500 employees) without dedicated HR departments
  • Multi-location operators managing inconsistent HR practices across sites
  • Industries with elevated compliance risk: hospitality, restaurants, healthcare, construction
  • Businesses expanding in California that need infrastructure support quickly

Larger companies sometimes use PEOs as well, particularly when entering new states or markets where local compliance expertise is needed.

PEO vs. Payroll Provider: What’s the Difference?

A payroll provider processes wages and files taxes. A PEO does all of that and also shares employer liability, manages compliance, administers benefits, and supports risk control.
